Terms of Service

1. Agreement to these terms
These Terms of Service ("Terms") are a binding agreement between you and [Join Proximity LLC], a Florida limited liability company ("Proximity," "we," "us," or "our"). They govern your use of the Proximity mobile app, the website at joinproximity.app, and any related services (together, the "Service").

By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

Please read Section 14 (Limitation of liability) and Section 16 (Disputes and arbitration) carefully. They affect your legal rights, including your right to bring a claim in court and to participate in a class action.

2. Who can use Proximity
You must be at least 18 years old to use the Service. By using it, you represent that you are 18 or older, that you have never been convicted of a felony or of a sex offense or crime of violence, that you are not required to register as a sex offender with any government registry, and that you have the legal capacity to enter into this agreement.

The Service is currently offered only in the United States.

3. Your account
You create an account with your mobile phone number, which we verify with a one-time code. You agree to provide accurate information about yourself and to keep it current. You may maintain only one account, and you may not create an account on behalf of anyone else or transfer your account to another person.

You are responsible for activity that happens under your account and for keeping access to your phone number and device secure. Tell us promptly at support@joinproximity.app if you believe someone else is using your account.

4. Text messages
By providing your mobile number and opting in, you consent to receive text messages from Proximity, including one-time verification codes, security alerts, and — where you enable them — notifications about matches, messages, and community activity. Consent is not a condition of any purchase. Message frequency varies. Message and data rates may apply. Carriers are not liable for delayed or undelivered messages.

Reply STOP to any message to opt out, or HELP for help. Full details are in our SMS terms and our Privacy Policy.

5. License to use the app
Subject to these Terms, we grant you a personal, limited, non-exclusive, non-transferable, revocable license to download and use the Proximity app on a device you own or control, for your own non-commercial use. You may not copy, modify, reverse engineer, decompile, resell, or create derivative works from the Service, or access it through automated means such as scrapers or bots.

6. Rules of conduct
Proximity is built for platonic connection between people who live near each other. Relationships that develop between members are their own business, but the Service is not a dating platform and may not be used as one. You agree not to:
- Send sexually explicit content, or make sexual or romantic advances toward any member who has not clearly welcomed them;
- Continue contacting a member after they have asked you to stop, declined, or unmatched;
- Harass, threaten, stalk, intimidate, defame, or bully anyone;
- Post or send content that is hateful, violent, obscene, discriminatory, or otherwise unlawful;
- Impersonate another person, misrepresent your age or identity, or use someone else's photo as your own;
- Use the Service to advertise, sell, recruit, promote a business, run a multi-level marketing scheme, or solicit money from other members;
- Ask other members for money, financial account details, or personal identifying documents;
- Collect, scrape, or store other members' information, or share their private messages, photos, or personal details outside the Service without their consent;
- Interfere with the Service's operation or security, or attempt to gain unauthorized access to any part of it;
- Use the Service for any illegal purpose or in violation of any applicable law.

If you are asked for money by another member, or something feels wrong, report it in the app and email us at support@joinproximity.app.

7. Meeting people in person
Proximity does not conduct criminal background checks or identity verification on its members. We verify phone numbers, which is not the same as verifying who someone is.

You are solely responsible for your interactions with other members, online and in person. Use common sense: meet in public places, tell someone where you are going, arrange your own transportation, and stop any interaction that makes you uncomfortable. You assume all risk associated with meeting other members.

Proximity is not responsible for the conduct of any member, whether on or off the Service. To the fullest extent permitted by law, we disclaim liability for any harm, injury, loss, or damage arising from your interactions with other members.

8. Your content
You keep ownership of the content you create on Proximity — your profile details, photos, posts, and messages ("Your Content"). You are responsible for it and for having the rights to share it.

You grant us a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, display, adapt for formatting, and distribute Your Content solely for the purpose of operating, providing, securing, and improving the Service. This license ends when you delete Your Content or your account, except for copies retained in backups for a limited period, content already shared with other members, and content we must keep for legal or safety reasons.

You may not post content you do not have the right to post, or content that infringes anyone's intellectual property, privacy, or other rights.

9. Reporting and moderation
You can report members and content in the app. We review reports and may remove content, limit account features, or suspend or terminate accounts. We are not obligated to monitor content, but we may do so, and we may remove anything that we reasonably believe violates these Terms or creates a risk to members. We do not guarantee that we will act on every report or that we will act within any particular time.

Objectionable content. We do not tolerate objectionable content or abusive members. Reports of objectionable content are reviewed and acted on, and offending content and accounts are removed as appropriate.

10. Our intellectual property
The Service, including its software, design, text, graphics, the Proximity name, and the Proximity logo, is owned by us or our licensors and is protected by intellectual property laws. These Terms do not grant you any right to use our trademarks or branding without our prior written permission.

11. Third-party services and Apple
The Service relies on third-party providers, including Apple, Supabase, and Twilio. Their services are governed by their own terms, and we are not responsible for them.

If you downloaded the app from the Apple App Store, you acknowledge that: these Terms are between you and us, not Apple; Apple has no obligation to provide maintenance or support for the app; Apple is not responsible for any claim relating to the app, including product liability, legal compliance, or intellectual property claims; and Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

12. Suspension and termination
You may stop using the Service and delete your account at any time in the app under Settings → Account → Delete Account.

We may suspend or terminate your account, with or without notice, if we reasonably believe you have violated these Terms, created a risk to other members or to us, or if we are required to do so by law. We may also discontinue the Service, in whole or in part, at any time. Sections 8, 10, and 13 through 19 survive termination.

13. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, or error-free, that distances or member information will be accurate, that any member is who they claim to be, or that you will make any connection or friendship through the Service.

14. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, PROXIMITY AND ITS OWNERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM OR RELATING TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) FIFTY U.S. DOLLARS ($50).

Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you. Nothing in these Terms limits liability that cannot be limited under applicable law.

15. Indemnification
You agree to indemnify and hold harmless Proximity and its owners, employees, and agents from any claim, demand, loss, or expense, including reasonable attorneys' fees, arising out of your use of the Service, Your Content, your violation of these Terms, or your violation of the rights of any third party, including any other member.

16. Disputes and arbitration
Talk to us first. If you have a dispute, email support@joinproximity.app with a description of the problem. We will try in good faith to resolve it informally within 60 days before either side starts a formal proceeding.

Arbitration. If we cannot resolve the dispute informally, you and Proximity agree that any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, rather than in court. Arbitration will take place in Florida or, at your election, by telephone, video, or written submission. The arbitrator's decision may be entered as a judgment in any court of competent jurisdiction.

Exceptions. Either party may bring an individual claim in small claims court, and either party may seek injunctive relief in court to protect intellectual property rights.

No class actions. YOU AND PROXIMITY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE PROCEEDING.

Opt out. You may opt out of this arbitration agreement by emailing support@joinproximity.app with the subject line "Arbitration Opt-Out" within 30 days of first accepting these Terms. Opting out will not affect any other part of these Terms.

17. Governing law
These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. To the extent any dispute is not subject to arbitration, you and Proximity consent to the exclusive jurisdiction of the state and federal courts located in Florida.

18. Changes to these termsWe may update these Terms from time to time. When we do, we will revise the "Last updated" date above and, if the changes are material, give you notice in the app or by text or email before they take effect. Continuing to use the Service after a change takes effect means you accept the updated Terms.

19. GeneralThese Terms, together with the Privacy Policy, are the entire agreement between you and Proximity regarding the Service. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets.
